These Terms of Service govern your access to and use of SPRL websites, applications, APIs, products, subscriptions, and related services. By using SPRL, you agree to comply with these Terms.

1. Overview

Welcome to SPRL. These Terms of Service ("Terms") constitute a legally binding agreement between you and SPRL governing your access to and use of our websites, applications, dashboards, APIs, software, subscriptions, and other products and services.

Please read these Terms carefully before using any SPRL service. If you do not agree with these Terms, you should not access or use our services.


2. Scope

These Terms apply to all SPRL products and services unless a separate written agreement expressly states otherwise.

This includes, but is not limited to:

  • Website and customer dashboard
  • Developer APIs
  • URL Shortener
  • QR Code services
  • Email Marketing
  • SMS Marketing
  • WhatsApp Business API
  • Email Verification
  • Analytics and reporting services
  • Subscriptions and prepaid packages
  • Enterprise services

3. Definitions

Term Meaning
SPRL Refers to SPRL, its websites, applications, APIs, products, services, and authorised representatives.
User Any individual or organisation accessing or using SPRL services.
Account A registered customer account used to access SPRL services.
Services All products, APIs, software, subscriptions, dashboards, and online services provided by SPRL.
Content Information, links, files, messages, data, text, images, or other materials submitted or generated through SPRL services.

4. Acceptance of these Terms

By creating an account, accessing the SPRL platform, using our APIs, purchasing subscriptions, recharging your wallet, or otherwise using our services, you acknowledge that you have read, understood, and agreed to these Terms together with our Privacy Policy, Cookie & Tracking Technologies Policy, Billing & Pricing Policy, Refund & Cancellation Policy, and any applicable product-specific policies.

If you are using SPRL on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.


5. Eligibility

To use SPRL services, you must be legally capable of entering into a binding agreement under the laws applicable to your jurisdiction.

Where an account is created on behalf of a business or organisation, the individual creating the account confirms that they are authorised to act on behalf of that organisation.


6. Account Registration

Certain SPRL services require the creation of a registered customer account.

When creating an account, you agree to:

  • provide accurate and complete information;
  • keep your account information up to date;
  • maintain the confidentiality of your login credentials;
  • accept responsibility for activities conducted through your account;
  • notify SPRL promptly if you become aware of unauthorised account access.

SPRL may require email verification, identity verification, or additional account validation before certain services become available.


7. Customer Accounts

Customers are responsible for ensuring that account credentials are used only by authorised persons.

You remain responsible for all authorised activities performed through your account until you notify SPRL of suspected unauthorised access and reasonable verification has been completed.

 


8. Acceptable Use

You agree to use SPRL services responsibly, lawfully, and in accordance with these Terms and all applicable laws and regulations.

You must not use SPRL services to engage in activities that are illegal, fraudulent, harmful, deceptive, or that interfere with the security, availability, or integrity of our platform.


9. Prohibited Activities

The following activities are prohibited while using SPRL services:

Fraud & Deception Phishing, impersonation, identity theft, scams, misleading content, or fraudulent schemes.
Security Abuse Attempting unauthorised access, vulnerability scanning, bypassing security controls, or interfering with platform operations.
Malicious Software Distributing malware, ransomware, spyware, viruses, or other harmful code.
Spam Sending unsolicited communications, abusive marketing campaigns, or other unwanted messages using SPRL services.
Intellectual Property Violations Uploading or distributing content that infringes copyrights, trademarks, patents, or other intellectual property rights.
Privacy Violations Collecting, sharing, or processing personal information without appropriate legal authority.
Platform Abuse Attempting to disrupt, overload, reverse engineer, exploit, or interfere with SPRL services.

10. User Content

Certain SPRL services allow customers to create, upload, transmit, store, or manage content.

You are solely responsible for all content submitted through your account and for ensuring that you have the necessary rights and permissions to use that content.

You must not submit or distribute content that:

  • violates applicable laws;
  • infringes intellectual property rights;
  • contains malicious software;
  • promotes fraud or deceptive practices;
  • contains unlawful, abusive, defamatory, or discriminatory material;
  • violates another person's privacy or legal rights.

11. Content Ownership

You retain ownership of the content that you submit to SPRL.

By using our services, you grant SPRL a limited, non-exclusive, worldwide licence to host, process, transmit, store, and display your content solely for the purpose of providing, operating, securing, maintaining, and improving the requested services.

This licence automatically ends when your content is deleted from our systems, except where retention is required by law or reasonably necessary for backup, security, dispute resolution, or compliance purposes.


12. Intellectual Property

All SPRL trademarks, logos, software, website content, source code, documentation, designs, graphics, databases, and other intellectual property remain the exclusive property of SPRL or its licensors.

Except as expressly permitted by these Terms or applicable law, you may not:

  • copy or reproduce SPRL materials;
  • modify or create derivative works;
  • reverse engineer software;
  • redistribute proprietary content;
  • remove copyright or proprietary notices;
  • use SPRL branding without prior written permission.

13. Developer APIs

SPRL may provide APIs that allow customers to integrate with supported products and services.

When using our APIs, you agree to:

  • protect your API credentials;
  • use APIs only for authorised purposes;
  • comply with published API documentation;
  • respect applicable rate limits and usage restrictions;
  • avoid excessive or abusive automated requests;
  • promptly report any suspected API credential compromise.

SPRL may modify, update, restrict, or discontinue APIs, API versions, or specific endpoints as part of ongoing product improvements.


14. API Keys

Customers are responsible for maintaining the confidentiality of their API keys and any credentials associated with API access.

SPRL may suspend, rotate, deactivate, or revoke API credentials where necessary to protect platform security, investigate suspected misuse, comply with legal obligations, or enforce these Terms.

API keys that remain inactive for extended periods may be automatically deactivated in accordance with SPRL operational policies. Where applicable, eligible API keys may be reactivated following successful verification or renewed usage.

 


15. Service Availability

SPRL continuously works to provide reliable and high-quality services. However, we do not guarantee that our websites, applications, APIs, or other services will always be available, uninterrupted, error-free, or free from delays.

Service availability may be affected by scheduled maintenance, software updates, infrastructure upgrades, third-party service interruptions, network failures, security incidents, or events beyond our reasonable control.


16. Service Modifications

SPRL may introduce new features, modify existing functionality, improve services, discontinue legacy features, or update technical requirements as part of our ongoing product development.

Where reasonably practical, significant changes affecting customer use will be communicated through appropriate channels.


17. Beta and Preview Features

From time to time, SPRL may provide beta, preview, early access, or experimental features.

These features are provided for evaluation purposes and may:

  • contain bugs or limitations;
  • change without notice;
  • be modified or discontinued at any time;
  • have reduced functionality compared to production services.

Unless otherwise stated, beta features are provided on an "as available" basis and may not be suitable for production use.


18. Pricing and Billing

Certain SPRL products require payment before or during use. Depending on the service, billing may be based on subscriptions, prepaid packages, usage-based pricing, wallet deductions, or enterprise agreements.

All pricing, billing rules, taxes, invoices, payment methods, and commercial terms are governed by the SPRL Billing & Pricing Policy and any applicable product-specific pricing documentation.


19. Wallet Services

Where applicable, customers may use the SPRL Wallet to pay for eligible services.

Wallet balances, recharge rules, Bonus Credits, deductions, and related billing processes are governed by the SPRL Billing & Pricing Policy and Refund & Cancellation Policy.


20. Subscriptions and Renewals

Some SPRL products are offered through recurring subscription plans.

By purchasing a subscription, you authorise SPRL to provide the selected services for the applicable subscription period in accordance with the published commercial terms.

Where automatic renewal is available and enabled, subscriptions may renew automatically until cancelled in accordance with the applicable subscription terms.


21. Payment Responsibilities

Customers are responsible for ensuring that payment information remains accurate and that sufficient funds or valid payment methods are available for applicable purchases, subscriptions, renewals, or wallet recharges.

Failure to complete required payments may result in suspension or interruption of the affected paid services.


22. Taxes

Applicable taxes, including GST, VAT, sales tax, or similar government charges, may be applied where required by law.

Customers are responsible for any taxes, duties, or governmental charges applicable to their purchases unless expressly stated otherwise.


23. Customer Data

Customers retain ownership of their data and content submitted through SPRL services.

SPRL processes customer data only as necessary to provide requested services, maintain platform security, comply with legal obligations, improve our products, and fulfil other purposes described in our Privacy Policy.


24. Backups and Data Retention

SPRL may maintain system backups, operational logs, and archived information to support business continuity, security, legal compliance, and disaster recovery.

Customers are responsible for maintaining their own copies of important data where appropriate. SPRL does not guarantee indefinite retention of customer-generated content unless expressly stated for a particular service.


25. Third-Party Services

Certain SPRL products may integrate with third-party platforms, communication providers, payment gateways, cloud infrastructure, or other external services.

SPRL is not responsible for interruptions, pricing changes, service limitations, or operational decisions made independently by third-party providers.

Your use of third-party services may also be subject to the respective provider's terms and policies.

 


26. Account Suspension and Termination

SPRL may suspend, restrict, or terminate access to all or part of our services where we reasonably believe it is necessary to protect our platform, customers, legal interests, or business operations.

Reasons for suspension or termination may include, but are not limited to:

  • violation of these Terms or other SPRL policies;
  • fraudulent, deceptive, or unlawful activity;
  • phishing, malware distribution, or platform abuse;
  • unauthorised access attempts or security threats;
  • non-payment of applicable fees;
  • misuse of APIs or excessive automated requests;
  • requests from competent legal or regulatory authorities.

Where appropriate and reasonably practical, SPRL may provide notice before suspension or termination. However, immediate action may be taken where necessary to protect customers, infrastructure, or comply with legal obligations.


27. Customer-Initiated Account Closure

Customers may request closure of their SPRL account at any time through the available account settings or by contacting SPRL Support.

Closing an account does not automatically cancel outstanding subscriptions, unpaid invoices, contractual obligations, or legal responsibilities that arose before the account was closed.

Certain information may continue to be retained in accordance with our Privacy Policy, legal obligations, security requirements, and record retention practices.


28. Compliance with Laws

Customers are responsible for ensuring that their use of SPRL services complies with all applicable laws, regulations, industry requirements, and contractual obligations within the jurisdictions in which they operate.

SPRL does not provide legal advice regarding the legality of customer activities, content, communications, or business operations.


29. Monitoring and Enforcement

To help protect our platform and customers, SPRL may monitor the use of its services for operational, security, fraud prevention, abuse detection, and legal compliance purposes.

Where we reasonably believe that these Terms or applicable laws have been violated, SPRL may investigate the matter and take appropriate action, including restricting access, suspending services, removing content where permitted, or cooperating with competent authorities.


30. Disclaimer of Warranties

Except where expressly stated, SPRL services are provided on an "as is" and "as available" basis.

To the fullest extent permitted by applicable law, SPRL disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties relating to merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, or uninterrupted operation.


31. Limitation of Liability

To the maximum extent permitted by applicable law, SPRL and its directors, employees, partners, affiliates, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to the use of our services.

This includes, without limitation:

  • loss of profits;
  • loss of revenue;
  • loss of business opportunities;
  • loss of goodwill;
  • loss or corruption of data;
  • business interruption;
  • service downtime;
  • third-party claims arising from customer activities.

To the extent permitted by law, SPRL's total aggregate liability arising from any claim relating to the services shall not exceed the amount actually paid by the customer to SPRL for the specific service giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim.


32. Indemnification

You agree to indemnify, defend, and hold harmless SPRL, its officers, directors, employees, affiliates, licensors, contractors, and service providers from any claims, liabilities, damages, losses, costs, or expenses arising from:

  • your use of SPRL services;
  • your violation of these Terms;
  • your infringement of intellectual property or other legal rights;
  • your content, communications, or business activities;
  • your violation of applicable laws or regulations.

33. Force Majeure

SPRL will not be liable for delays or failures in performance resulting from events beyond our reasonable control.

Such events may include, without limitation:

  • natural disasters;
  • war, terrorism, or civil unrest;
  • government actions or regulatory restrictions;
  • internet or telecommunications failures;
  • cloud infrastructure outages;
  • power failures;
  • labour disputes;
  • pandemics or public health emergencies;
  • other unforeseeable events beyond our reasonable control.

Where reasonably practicable, SPRL will make commercially reasonable efforts to restore affected services as soon as circumstances permit.

 


34. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

Nothing in these Terms limits any rights that may be available to consumers under applicable mandatory consumer protection laws.


35. Dispute Resolution

If a dispute arises between you and SPRL regarding these Terms or the use of our services, both parties agree to make reasonable efforts to resolve the matter through good-faith discussions before initiating formal legal proceedings.

If the dispute cannot be resolved through mutual discussion, it shall be subject to the exclusive jurisdiction of the competent courts located in Bengaluru, Karnataka, India, unless otherwise required by applicable law.


36. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall continue in full force and effect.


37. No Waiver

Failure by SPRL to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other rights available under these Terms.

Any waiver shall be effective only if made in writing by an authorised representative of SPRL.


38. Entire Agreement

These Terms of Service, together with our Privacy Policy, Cookie & Tracking Technologies Policy, Billing & Pricing Policy, Refund & Cancellation Policy, Acceptable Use Policy, product-specific documentation, and any applicable enterprise agreements, constitute the complete agreement between you and SPRL regarding the use of our products and services.

Where a signed enterprise agreement expressly differs from these Terms, the provisions of that enterprise agreement shall prevail to the extent of the conflict.


39. Changes to these Terms

SPRL may revise these Terms of Service from time to time to reflect changes in our products, services, technology, legal requirements, business operations, or security practices.

The latest version will always be published on this page together with the effective date shown at the beginning of this document.

Where required by applicable law, we will provide appropriate notice before material changes become effective.

Your continued use of SPRL services after the effective date of revised Terms constitutes acceptance of the updated Terms.

Pricing, billing, subscriptions, wallet services, invoices, cancellations, and refunds are governed by the Billing & Pricing Policy and the Refund & Cancellation Policy.

You represent that you are not prohibited from using the services under any applicable laws or government restrictions.

If you voluntarily provide feedback, you grant SPRL a non-exclusive, worldwide, royalty-free licence to use, modify, publish, and incorporate that feedback into our products and services without any obligation to compensate you.

These Terms of Service are published in English. Where translations are provided for convenience, the English version shall prevail to the extent permitted by applicable law in the event of any inconsistency.
